1. General Terms
1.1. Marketplace role
vividoshop.com is an online marketplace that provides digital infrastructure allowing independent vendors to showcase and sell their products to customers.
1.2. Intermediary role
VividoShop acts only as an intermediary between sellers and buyers.
VividoShop:
- Does not manufacture products
- Does not own products listed by sellers
- Does not act as the seller of products
- Does not control the production, quality, packaging, delivery, or fulfillment of seller products
The seller remains fully responsible for:
- Products offered through the platform
- Product information and descriptions
- Pricing
- Customer communication
- Order fulfillment
- Compliance with applicable laws and regulations
2. Seller Registration and Account Information
To use VividoShop as a vendor, you must provide accurate and complete personal and/or business information.
Depending on your seller status and legal requirements, information may include:
- Full name or business name
- Address
- Phone number
- Email address
- Personal or business identification information
- Tax identification information (if applicable)
- VAT information (if applicable)
- Payment and invoice information
- Other information required for account verification or legal compliance
The vendor is responsible for ensuring that all provided information remains accurate and updated.
VividoShop may request additional information when necessary for:
- Account verification
- Invoice processing
- Legal compliance
- Platform security
- Improving seller services
Providing false, incomplete, or outdated information may result in account restrictions, suspension, or termination.
3. Seller Eligibility and Responsibilities
By becoming a seller on VividoShop, you confirm that:
- You create, produce, or legally own the products you offer through the platform.
- Your products are authentic, safe, accurately described, and legally permitted for sale.
- You have the ability to process orders, prepare shipments, manage deliveries, and communicate with customers in a timely and professional manner.
- All information, descriptions, images, prices, and product details provided by you are accurate and do not mislead customers.
- You own or have permission to use all uploaded materials, including photos, videos, logos, designs, descriptions, and other content.
- Your products and content do not violate third-party intellectual property rights, including copyrights, trademarks, or design rights.
The seller is fully responsible for any claims, damages, losses, costs, or legal issues resulting from:
- Incorrect product information
- Unauthorized use of third-party content
- Violation of applicable laws or regulations
4. Vendor Profile and Shop Information
Vendors must maintain an accurate and complete shop profile and providing required personal and/or business information and keeping the information on their stores updated.
The vendor agrees that:
- Shop information must be accurate and truthful.
- Product information must comply with VividoShop requirements.
- The vendor must complete required account and invoice configuration fields.
- VividoShop may request corrections or updates when information is incomplete, inaccurate, or inconsistent with platform requirements.
5. Ownership & Copyrights
Sellers retain ownership of their uploaded content, including:
- Product photos
- Videos
- Descriptions
- Logos
- Designs
- Other materials uploaded to VividoShop
By uploading content to VividoShop, sellers grant VividoShop and Vivido Hub DOO Kavadarci a non-exclusive, worldwide, royalty-free right to use, reproduce, display, distribute, and adapt such content for:
- Operating and improving the VividoShop platform
- Displaying seller shops and products
- Promoting sellers and their products
- Creating marketing and promotional materials
This permission may include:
- Social media posts
- Digital advertisements
- Email campaigns
- Website content
- Marketplace promotions
- Newsletters
- Press releases
- Promotional materials
This permission applies during the seller's cooperation with VividoShop.
VividoShop and Vivido Hub LLC may also retain and use previously published promotional materials created during the cooperation period after termination of the seller relationship, solely for portfolio, reference, archival, or documentation purposes, unless otherwise agreed in writing.
6. Tax Responsibilities
Each vendor is independently responsible for fulfilling their own tax and legal obligations related to activities conducted through VividoShop.
This includes:
- Declaring income generated through sales on the platform
- Maintaining appropriate financial records
- Paying applicable taxes, contributions, or other obligations required by law
- Providing accurate business and invoice information
Vivido Hub DOO Kavadarci currently operates according to its applicable tax registration status.
Vivido Hub DOO Kavadarci is currently not registered as a VAT taxpayer, as the company has not reached the legally defined threshold for mandatory VAT registration according to applicable legislation.
Until VAT registration becomes mandatory, Vivido Hub DOO Kavadarci does not charge VAT on its services.
If Vivido Hub DOO Kavadarci becomes subject to VAT registration in the future, applicable VAT charges and obligations will be applied according to the applicable legislation.
VividoShop does not calculate, collect, or pay taxes on behalf of sellers. Each seller is responsible for determining and fulfilling their own tax obligations related to sales made through the platform.
Sellers are responsible for seeking professional accounting or tax advice if they are unsure about their obligations.
7. Disclaimers
VividoShop is not responsible for disputes, damages, delays, product defects, or dissatisfaction arising from transactions between sellers and buyers. All obligations related to the product and the fulfillment of orders remain between the seller and the buyer.
VividoShop does not guarantee:
- Sales
- Revenue
- Customer demand
- Business success
VividoShop is not responsible for:
- Product quality, safety, authenticity, and compliance with applicable regulations
- Accurate product descriptions, pricing, and information
- Product packaging and preparation
- Delivery and shipping arrangements
- Returns, refunds, and exchanges
- Communication and resolution of issues with buyers
8. Customer Data Protection
Sellers may receive customer information necessary for fulfilling orders.
Seller agrees that customer data:
- May only be used for order fulfillment and communication related to the order.
- May not be used for marketing, promotions, or mailing lists without appropriate consent.
- Data may not be stored, exported, or reused outside the order process.
Sellers must comply with applicable privacy and data protection laws in North Macedonia.
9. Account Suspension and Termination
VividoShop may suspend, restrict, or terminate seller accounts if the seller:
- Provides false information
- Violates this Agreement or platform rules
- Lists prohibited products
- Violates customer trust
- Fails to fulfill orders
- Misuses customer data
- Engages in fraudulent or harmful activities
- Platform or legal compliance is breached
VividoShop may remove individual listings or take necessary actions to protect marketplace integrity.
The seller may request account closure after fulfilling all outstanding obligations.
10. Agreement Updates
VividoShop may update this Agreement, Seller Policy, Platform Fees and Service Terms, or other platform rules due to:
- Business changes
- Legal requirements
- New platform features
- Operational improvements
Significant changes affecting seller obligations will be communicated before becoming effective.
